1. Agreement Overview

This Seller Agreement ("Agreement") is entered into between you ("Seller") and Luma Trade ("Luma Trade", "we", "us", or "our") and governs your use of the Luma Trade marketplace platform to sell products and services to customers ("Buyers").

By registering as a seller on our platform, you agree to comply with all terms and conditions outlined in this Agreement, our Terms of Service, and all applicable laws and regulations.

Note: This Agreement supplements and does not replace our general Terms of Service. Both documents apply to your use of our platform.

2. Seller Eligibility and Requirements

2.1 Eligibility Criteria

To become a seller on Luma Trade, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal right to enter into this Agreement
  • Provide accurate and complete registration information
  • Maintain a valid bank account or PayPal account for payments
  • Comply with all applicable laws in your jurisdiction

2.2 Verification Process

We may require identity verification, business documentation, and tax information before approving your seller account. You agree to provide all requested documentation promptly and accurately.

3. Product Listings and Content

3.1 Listing Standards

All product listings must:

  • Contain accurate, complete, and current information
  • Include clear, high-quality product images
  • Provide detailed product descriptions and specifications
  • Display correct pricing and availability
  • Comply with category-specific requirements

3.2 Content Ownership

You retain ownership of your product content but grant Luma Trade a non-exclusive license to display, market, and promote your listings across our platform and affiliated marketing channels.

3.3 Content Moderation

We reserve the right to review, modify, or remove any listing that violates our policies or applicable laws. We may also use automated systems to detect policy violations.

4. Order Fulfillment and Shipping

4.1 Order Processing

You must process and ship orders within your stated handling time, typically within 1-3 business days. You agree to maintain adequate inventory to fulfill orders promptly.

4.2 Shipping Requirements

  • Use reliable shipping carriers and methods
  • Provide tracking information when available
  • Package items securely to prevent damage
  • Ship to the address provided by the buyer
  • Comply with shipping restrictions and regulations

4.3 Order Cancellation

If you cannot fulfill an order, you must cancel it promptly and notify the buyer. Frequent cancellations may result in account penalties or suspension.

5. Fees and Payment Terms

5.1 Commission Structure

Standard Commission Rates:

  • Electronics: 8% of item price + shipping
  • Fashion & Accessories: 10% of item price + shipping
  • Home & Garden: 12% of item price + shipping
  • Books & Media: 15% of item price + shipping
  • Other Categories: 10% of item price + shipping

Commission rates may vary by category and are subject to change with 30 days' notice.

5.2 Payment Schedule

Payments are processed bi-weekly (every two weeks) for completed transactions. Funds are typically available in your account within 3-5 business days after processing.

We may hold payments for up to 14 days for new sellers or in cases of suspected fraud or policy violations.

5.3 Additional Fees

  • Listing fees: Free for first 50 items per month, $0.20 per additional item
  • Featured listing upgrade: $2.95 per listing
  • Payment processing fees: Included in commission
  • Chargeback fees: $15.00 per occurrence

6. Returns, Refunds, and Customer Service

6.1 Return Policy

You must clearly state your return policy in your seller profile and product listings. At minimum, you must accept returns for:

  • Items not as described
  • Defective or damaged products
  • Items that arrive significantly late

6.2 Customer Communication

You must respond to customer inquiries within 24 hours and maintain professional, courteous communication. All customer interactions must comply with our communication guidelines.

6.3 Dispute Resolution

We may mediate disputes between sellers and buyers. You agree to cooperate with our dispute resolution process and abide by our decisions in cases where mediation is required.

7. Prohibited Items and Activities

Important: Violation of prohibited item policies may result in immediate account suspension.

7.1 Prohibited Items

You may not sell:

  • Illegal, stolen, or counterfeit goods
  • Weapons, ammunition, or explosive materials
  • Drugs, controlled substances, or drug paraphernalia
  • Adult content or services
  • Live animals or animal products from endangered species
  • Items that infringe on intellectual property rights
  • Recalled or unsafe products

7.2 Prohibited Activities

  • Manipulating search results or customer reviews
  • Creating multiple seller accounts
  • Engaging in price manipulation or collusion
  • Spamming customers or other sellers
  • Circumventing our fee structure

8. Performance Standards and Metrics

8.1 Key Performance Indicators

Minimum Performance Standards:

  • Order defect rate: Less than 1%
  • Late shipment rate: Less than 4%
  • Order cancellation rate: Less than 2.5%
  • Customer response time: Within 24 hours
  • Customer satisfaction rating: 4.0 stars or higher

8.2 Performance Monitoring

We continuously monitor seller performance. Sellers who consistently meet or exceed standards may be eligible for benefits such as reduced fees, featured placement, or access to premium tools.

9. Data and Analytics

9.1 Data Access

We provide sellers with access to sales data, customer insights, and performance analytics through our seller dashboard. This data is provided for business purposes only.

9.2 Data Usage Restrictions

You may not use customer data for any purpose other than fulfilling orders and providing customer service. You may not sell, share, or use customer data for marketing without explicit consent.

10. Intellectual Property and Brand Protection

10.1 Trademark Compliance

You may only sell authentic products and may not use trademarked terms in listings unless you are an authorized retailer. We have zero tolerance for counterfeit goods.

10.2 Copyright Protection

All images, descriptions, and content in your listings must be original or properly licensed. We respond promptly to valid copyright infringement claims.

11. Account Suspension and Termination

11.1 Suspension Reasons

We may suspend or terminate your account for:

  • Violation of this Agreement or our Terms of Service
  • Poor performance metrics
  • Customer complaints or safety concerns
  • Suspected fraudulent activity
  • Legal or regulatory requirements

11.2 Appeal Process

If your account is suspended, you may appeal the decision by contacting our seller support team within 30 days. We will review appeals fairly and promptly.

12. Tax Obligations and Reporting

12.1 Tax Responsibility

You are responsible for determining and paying all applicable taxes on your sales. We may collect and remit sales tax where required by law.

12.2 Tax Reporting

We will provide annual tax statements (Form 1099-K in the US) for sellers who meet reporting thresholds. You should consult with a tax professional regarding your obligations.

13. Legal Compliance and Warranties

13.1 Compliance Warranty

You warrant that all products and activities comply with applicable laws, regulations, and industry standards in all relevant jurisdictions.

13.2 Product Safety

You are responsible for ensuring that your products meet all applicable safety standards and regulations. You must promptly notify us of any safety issues or recalls.
